About the role

As Legal Counsel for Bacardi Brazil, you will be a key member and Business Partner of the Brazil Leadership Team and a trusted legal advisor for Bacardi Brazil country management, with primary  emphasis and support focus on Brazil and growth opportunities in the rest of the South America.  You will be a a broad thinking, business-savvy, flexible, and pragmatic lawyer.  You will work together, coordinate with and support the Legal Director LAC, and Regional General Counsel LAC, to form a high performing team providing legal support to Bacardi Brazil, its business value growth and other operating objectives, while avoiding or minimizing legal exposure. You will also ensure that the markets under your responsibility are operating within the law by providing adequate compliance and training programs, and you will contribute to the development and coordination of the legal function within the Region and within the broader Bacardi matrix organization.

As a member of the Legal Team: 

  • You will provide quality legal advice to country management and the Region, supporting front-line commercial operations as well as key projects and transactions in line with the country and Region’s short and long-term business objectives.
  • You will be an active member of the Region and Corporate legal teams, supporting, and coordinating with, the Legal Director LAC, Regional General Counsel LAC, other Bacardi Corporate Counsels or Secretaries in specialist areas.  
This role is varied and based in Bacardi Brazil’s office in São Paulo.  

Key accountabilities and responsibilities

  • Provide overall counsel and advice to country and Region management teams on all relevant legal and regulatory issues impacting the business, with special emphasis on Brazil.  In addition, be an active member of Brazil and Southern Cone team by providing overall review and recommendations regarding major legal and compliance decisions affecting the country and Region, influencing and persuading through clear communication, feedback and follow-up.
  • Provide superior, pragmatic, and business-focused legal support to the marketing, promotional and sales operations within Brazil, ensuring compliance with all applicable local and regional laws & regulations, as well as internal policies and guidelines. In doing so, he/she will maintain frequent communication with key personnel at country level, as well as coordination with subject matter specialist corporate counsels as needed (e.g.,IP, Marketing, Operations/Supply Chain). 
  • Manage negotiation, drafting and monitoring of full spectrum of commercial transactions involving relevant markets within the Region, with special emphasis on Brazil.  Representative transactions include distribution and other route to market agreements, on and off-trade customer agreements, advertising and promotional agreements, agency contracts, digital campaigns and service agreements, creating or reviewing standard terms and conditions of sale and purchase, consumer promotion terms and conditions, warehousing and logistics arrangements, and procurement agreements.
  • Provide legal and policy support to various country or Region functions, including HR, Finance, IT, and Internal Audit.
  • Play a key role in promoting compliance with the Bacardi Code of Conduct, by living and advocating ethical management and sustainable growth at all levels, rolling out global/regional compliance initiatives and designing local compliance initiatives as needed, in accordance with key stakeholders.
  • Manage disputes, including litigation and pre-litigation claims, negotiations, arbitration, mediation and other forms of dispute resolution matters.
  • Monitor the primary substantive areas of law and legal trends affecting Bacardi Brazil, along with substantive changes, and provide guidance to ensure that Brazil and the Region is adequately addressing or adjusting to these changes. 
  • Assist the Legal Director LAC in preparing and delivering the yearly budget for the legal function in Brazil, and maintaining expenses on or below budget. 
  • If applicable, supervise and develop any administrative or junior staff assigned to the position.
  • Proactively direct/manage outside counsel activities in support of all duties and responsibilities, including in budgeting, forecasting, and controlling outside legal costs.  Effectively evaluate and optimize use of outside legal resources.
  • As a key member of the Regional Legal Team, contribute to the development and effective coordination of the legal function in the Region, in line with the Region’s business objectives.
  • As assigned by Legal Director LAC, active participation in and support for the Legal Centers of Excellence (“CoE”): commercial, governance and compliance, marketing/IP and operations.

Measures of success

  • Effective and timely completion of transactions, agreements and/or project documentation which facilitates and advances Bacardi Brazil’s and the Region’s business opportunities and objectives.
  • Through collaboration with the Global Marketing/IP CoE, global and local campaigns/ projects are reviewed and cleared for market execution.  In addition, ensure market executions are implemented in compliance with applicable legal/regulatory requirements.
  • Working with the Compliance CoE, make compliance and the Bacardi Code of Conduct a fundamental  consideration in all business decisions.
  • Collaborate with the Ops CoE to deliver effective support to the "in market" plants and ops facilities. 
  • Effective “light touch” support for local subsidiaries and directors relying on the external corporate secretarial provider and the Bacardi Group Corporate Secretarial function.
  • Deliver positive outcome on disputes and/or mitigate damages or exposure.

Critical experiences for success

To be successful in this role you will have/be:
  • Between 5 to 7 years of legal experience in law firm and/or in-house legal department, with significant experience with and knowledge of the Brazil legal and regulatory environment. The ideal candidate is someone who combines both top law firm experience to start and then in house experience at a recognized international company.  Multi-country and/or al experience would also be preferred. 
  • Experience and interaction with management at all levels acting with substantial autonomy.  Ideal candidate will also have strong business acumen, and experience working in a fast-moving matrix and cross-functional environment. 
  • Educational degree: Law Degree with excellent academic curriculum.  
  • Fluency in Portuguese and English (with real capacity and experience in the use of the language - oral and written - in a working environment).  Fluency in Spanish would be preferred and considered a significant asset.
  • Working knowledge of major areas of law relating to the functions of a major international corporation with substantial commercial operations. Solid generalist legal background.
  • Outstanding critical thinking, analytical, negotiation and drafting skills.

  • Accessible and responsive to management and other members of the Legal function.
  • Operating skills: good at priority setting. Effectively manages workload by meeting deadlines and ensuring quality
  • Proven experience in effectively managing external law firms.
  • Pragmatic and intelligent risk-taker with the necessary savvy and presence to influence and persuade - a business person’s lawyer, a strategic business partner, and creative problem-solver.  Ability to assess risk and make (and take ownership of) recommendations and decisions in a fast-moving environment, with minimal supervision.  Ability to effectively balance and align the business and legal objectives so as to enable the business to grow consistent within the stated business objectives and the company’s values.

The following experiences are preferred:
  • Drinks industry experience is an advantage 
  • Preference for Sao Paolo-based candidates
