YOUR OPPORTUNITY

As a part of India Legal team, you will be the legal advisor for the Indian business. This is an exceptionally varied role requiring providing high quality and timely legal advice to the Indian Business on a wide range of commercial matters.

ABOUT YOU

This role will be involved in the daily business operations and will be working on a broad range of legal matters. This role will support front-line commercial operations, marketing activities and supply chain business heads, Corporate Governance as well as provide legal input into key projects and transactions across the Indian business, in line with the Bacardi group’s short and long-term business objectives. It will ensure that the Indian business is operating within the law by providing adequate compliance and training programs.

Responsibilities

WITH OUR CONSUMER AT THE HEART YOUR KEY FOCUS WILL BE 
  • Provide expert counsel and advice to the Indian business on all legal, regulatory, and social responsibility issues impacting the business. 
  • Responsible for advising business on State excise laws including reviewing the excise policies, updating business on key changes in excise policies and playing a key role in annual project of label registration process and liaison and coordinate with the state excise authorities. 
  • Independently handling of all regulatory matters for the company relating to alco Bev industry including but not limited to FSSAI, Legal Metrology , labour laws State excise, customs, RBI etc and liaison and coordinate with these authorities, etc 
  • Manage the process, negotiation, drafting and monitoring of legal documents in the full spectrum of commercial transactions involving the Indian Business. Representative transactions include distribution and other route to market agreements, on and off trade customer agreements, advertising and promotional agreements, agency contracts, digital campaigns, creating or reviewing standard terms and conditions of sale and purchase, consumer promotion terms and conditions, service agreements, warehousing and logistics arrangements, and Indian procurement agreements. 
  • Provide proactive legal advice on “front line” (sales and marketing) activities in the Indian Business and partner with Sales and marketing team to ensure compliance with all applicable local and regional laws and regulations, as well internal policies, and guidelines. In doing so, you will maintain frequent communication with key personnel within the Indian Business and country level, as well as coordinate with teams involved in IP, marketing, trademark claims, product labelling, international customers, competition law and other related fields.
  • Provide overall legal support to the operation teams in the Indian Business, including g providing advice and agreements for procurement, product regulation, environmental, and health/safety legal issues involving the plants, in coordination with internal and external regulatory experts. In carrying out the support you will coordinate with the relevant corporate counsel. 
  • Manage dispute procedures, including litigation and pre-litigation claims, negotiations, arbitration, mediation and other forms of dispute resolution.
  • Support the Group Company Secretary and his/her team to ensure compliance with all applicable requirements, including maintaining proper Corporate Records, ensuring signatory policies are in place and are adhered to, holding appropriate meetings, and ensuring that operations comply with the bylaws and corporate governance procedures established for the Business. 
  • Provide support in promoting compliance with the Bacardi Code of Conduct, by living and advocating ethical management and sustainable growth across the Indian Business, rolling out global/regional compliance initiatives and designing local compliance initiatives as needed, in accordance with key stakeholders. 
  • Monitor the primary substantive areas of law and legal trends affecting the Indian Business, along with substantive changes, and provide guidance to ensure that the Indian Business is adequately addressing or adjusting to these changes. 
  • Proactively direct/manage outside counsel activities in support of all duties and responsibilities, including in budgeting, forecasting, and controlling outside legal costs. Effectively evaluate and optimize use of outside legal resources.
  • Drive development and implementation of various legal templates, forms, communications, trainings and operational systems to improve the delivery and scalability of legal resources to group worldwide.
  • Strong and proactive partnership with all external stakeholders – Industry associations, regulators etc .This may involve interfacing where necessary with external policy makers and trade associations such as ISWAI to best support the strategic objective of the business.

MEASURES OF SUCCESS: 
  • Effective and timely completion of transactions and documentation which facilitate business opportunities.
  • Smooth execution of global and local campaigns/activations/projects.
  • Working with the Global Compliance Centre (CoE) of excellence to make Compliance and the Code of Conduct a fundamental consideration in all business decisions.
  • Collaborate with the Operations CoE to deliver effective support any plants and ops facilities in the countries within the Indian Business.
  • Deliver positive outcome on disputes or mitigate damages and/or exposure.

Skills and Experience

THE SKILLS AND EXPERIENCE NEEDED TO CREATE YOUR LEGACY 
  • The ideal candidate is someone who combines both top law firm experience to start and then in house experience at a recognized international company. 8-12 years of relevant work experience. 
  • Experience of interaction with management at all levels, acting with substantial autonomy. The ideal candidate also has strong business acumen, and experience working in a fast-moving matrix and cross-functional environment.
  • Educational degree: Law Degree with excellent academic curriculum. Fully qualified lawyer with a qualification to practice in India. CS will be an added advantage.
  • Fluent in Hindi and English (with real capacity and experience in the use of the language – oral and written- in a working commercial and legal environment);
  • Detailed knowledge of major areas of law relating to the functions of a major international corporation, with substantial commercial operations. Solid generalist legal background.
  • Outstanding critical thinking, analytical, negotiation and drafting skills

  • Accessible and responsive to management and other members of the Legal function.
  • Operating skills: good at priority setting. Effectively manages workload by meeting deadlines and ensuring quality.
  • Pragmatic and intelligent risk-taker with the necessary savvy and presence to influence and persuade - a businessperson's lawyer, a strategic business partner, and creative problem-solver. Ability to assess risk and make (and take ownership of) recommendations and decisions in a fast-moving environment, with minimal supervision. Ability to effectively balance and align the business and legal objectives so as to enable the business to grow consistently with the stated business objectives and the company's values.
